BY DOWNLOADING THIS RECYCLE MESSAGE DESIGN (“DESIGN”), YOU REPRESENT THAT YOU (A) HAVE READ AND UNDERSTAND THIS AGREEMENT, (B) ARE 18 YEARS OF AGE OR OLDER, (C) ARE LEGALLY BOUND TO THIS AGREEMENT AND/OR HAVE THE AUTHORITY TO BIND YOUR EMPLOYER TO THIS AGREEMENT. IF YOU DO NOT OR CANNOT AGREE TO THE TERMS OF THIS LIMITED LICENSE, YOU CANNOT USE THIS DESIGN. THIS AGREEMENT IS IN ADDITION TO, AND DOES NOT TAKE THE PLACE OF, SNA’S TERMS OF USE.
Your Use
Sappi North America (“SNA”) welcomes your use of the Design free of charge for your commercial use on printed materials for the promotion of recycling. Any other use, such as sale of the Design, use on products other than printed materials, or use for any unlawful, illegal, obscene, defamatory, harassing, or malicious activity, is prohibited. Subject to your compliance with this Agreement, SNA hereby grants to you a personal, revocable, non-exclusive, non-transferable license, without the right to sub-license, to use the Design for the purpose stated above.
Ownership and Liability
SNA owns all right, title and interest in and to this Design. You are free to make modifications to this Design, but you acknowledge and agree that you shall indemnify SNA and hold it harmless in the event of any claims arising out of your modification and/or its use. SNA makes no representations or warranties of any kind and expressly disclaims any warranties and conditions with respect to the Design, including without limitation non-infringement of third party rights. In no event will SNA be liable for any injury, loss, or damages of any kind whatsoever, arising out of or related to this agreement and/or your use of the Design or any modification thereof.
